Terms of Service

1. Agreement and operator

These Terms form an agreement between you and Diego Fernandez, an Australian sole trader (ABN 52 517 363 809), of 77 Parkwood Bvd, Parkwood QLD 4214, Australia (we, us or our). They govern the TradeCowboy desktop and mobile applications, accounts and hosted features, tradecowboy.com, beta access and related support (together, the Services).

By creating an account, downloading or using an application, enabling a hosted feature or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use TradeCowboy for a business or another person, you confirm that you have authority to bind them.

You must be at least 18 and legally capable of entering this agreement. You may not use the Services where doing so would breach sanctions, export controls or other applicable law.

2. What TradeCowboy provides

TradeCowboy provides tools to keep a trading journal, connect supported data sources, import and organise records, review positions and performance, create financial-year evidence exports, sync selected data between your devices and use optional AI-assisted features.

The desktop app is local-first: your selected Markdown vault is the source of truth and a local SQLite database is a rebuildable working index. Online accounts, sync, Cloud freshness, hosted AI, billing, exchange/broker requests and other provider-backed features work as described in the Privacy Policy.

Supported providers, data coverage and feature availability vary by platform, provider, account type, region and release. A connector labelled Beta may be incomplete or subject to provider limitations. A successful “sync” does not prove that a provider supplied every historical event. You must review the requested date range, import results, warnings and source statements.

2.1 Limited software licence

Subject to these Terms and any applicable store terms, we grant you a personal, revocable, non-exclusive, non-transferable licence to install and use the application on devices you own or control for your own internal personal or business record-keeping. The Services are licensed, not sold. Open-source components remain governed by their own licences.

You may not resell or sublicense TradeCowboy, bypass access or usage controls, probe or disrupt the hosted Services, introduce malicious code, use another person's account or credentials, scrape the Services at unreasonable volume, or reverse engineer the application except to the extent a law or applicable open-source licence expressly permits it.

2.2 Accounts and security

You are responsible for your account, device, email security, sync password and provider credentials, and for activity authorised through them. Use read-only exchange credentials with trading and withdrawal permissions disabled. Tell us promptly at [email protected] if you suspect unauthorised access.

3. Exchanges, brokers and market data

TradeCowboy retrieves data from accounts and public addresses you choose to connect. The application does not offer brokerage, custody, execution or money-transmission services and its supported request paths are not designed to place, modify or cancel orders or withdraw assets.

You authorise us and the application to send the requests necessary to retrieve data from the providers you connect. You confirm that you own or are authorised to access those accounts and data and that your use complies with each provider's rules. You remain responsible for provider fees, rate limits, credential scopes and account security.

Brokerage connections made through SnapTrade are also subject to the SnapTrade End User Terms and SnapTrade Privacy Policy, as well as the linked broker's terms. Other exchanges, data providers, Apple, RevenueCat, Supabase, AI providers and app stores have their own terms. We do not control those third parties and are not their agent, adviser or guarantor.

4. Records and information, not professional advice

TradeCowboy is not a broker, Australian financial services licensee, financial adviser, tax agent, BAS agent, accountant or law firm. Neither the Services nor their output are financial product advice, investment advice, legal advice, tax advice, a recommendation, an offer to deal, or a representation about the suitability or future performance of any trade, asset or strategy.

In particular, TradeCowboy:

Tax-facing screens and exports are evidence you keep alongside your return; they are not the return itself. Categorisation and apportionment choices remain yours. Verify them with an Australian-registered tax practitioner before lodging. The ATO also recommends retaining source transaction and exchange records; see its current crypto record-keeping guidance.

5. AI features

AI features may generate inaccurate, incomplete, stale, biased or fabricated content. They may misunderstand a document, tool result or instruction. You must review every AI response and every proposed or completed write to your journal. Do not use an AI output as the sole basis for a trade, tax position, filing, legal step or other consequential decision.

When you ask Cowboy to write, supported tools may create or append local journal content or change structured record status. You are responsible for checking the result and maintaining backups. A chart attached in Cowboy chat is journal evidence only: Cowboy cannot see or analyse it, and the app does not include its bytes in an AI-provider request. The other data sent to DeepSeek, Anthropic or OpenAI is described in the Privacy Policy. If you supply your own provider key, your separate agreement with that provider applies.

6. Your records, content and backups

You retain ownership of journal entries, records, files, prompts and other content you provide. You give us and our service providers a limited permission to host, transmit, encrypt, decrypt and process that content only as needed to provide a feature you choose, secure the Services, comply with law and enforce these Terms. This permission ends when the relevant content is deleted, subject to backups, provider retention and legal obligations described in the Privacy Policy.

You are responsible for:

Phone sync is a convenience mirror, not a backup service. Deleting an account does not delete a separately stored desktop vault. Losing a sync password can make the encrypted mirror unrecoverable.

If you send feedback about TradeCowboy, you allow us to use it to improve the Services without payment or attribution, but you keep ownership of any underlying material you own.

7. Beta features, changes and availability

Beta, preview and Labs features may be unfinished, contain defects, change materially or be withdrawn. Keep backups and do not use a beta feature as your only record. We may set reasonable usage limits and change supported providers to protect reliability, security, cost or legal compliance.

We may update the Services to fix defects, respond to provider changes, improve security or add/remove functionality. If a change materially reduces a paid ongoing service, we will give reasonable notice where practicable and you may cancel before the next renewal. We will not retroactively change the price or essential bargain of a completed purchase through these Terms.

Internet, provider and market-data services can be delayed or unavailable. Maintenance, outages, rate limits, revoked credentials, provider schema changes and events outside reasonable control may interrupt a feature. We will use reasonable care in providing the Services but do not promise continuous or error-free availability.

8. Beta access, subscriptions and refunds

A free beta is free and does not automatically become a paid subscription. If paid plans are offered, the checkout or App Store paywall will show the product, billing period, price, included functionality and any trial or offer terms before purchase.

We may change future subscription prices or features, but changes to an existing auto-renewable subscription apply only in accordance with the store's rules, required notice and any required consent. You may cancel before a new renewal price takes effect.

9. Suspension, cancellation and account deletion

You may stop using the Services at any time, cancel renewal through the payment provider and delete your TradeCowboy account from Settings. The deletion scope and the steps for local data, Cloud freshness, provider connections and subscriptions are set out in the Privacy Policy.

We may limit or suspend hosted access where reasonably necessary to investigate a security incident, prevent fraud or abuse, comply with law, protect users or providers, address non-payment, or respond to a serious or repeated breach of these Terms. Where appropriate, we will give notice and a reasonable opportunity to fix the issue. We may end an account for a material breach that cannot be fixed or is not fixed after notice. Immediate action may be necessary for security, illegality or risk of harm.

Ending hosted access does not transfer ownership of your local files to us. Sections that by their nature should continue—including ownership, accrued payment obligations, professional-advice limits, consumer rights and dispute terms—survive.

10. TradeCowboy intellectual property

Except for your content and third-party/open-source materials, TradeCowboy's software, design, branding, documentation and hosted systems are owned by or licensed to us and protected by intellectual-property law. No rights are granted except the limited licence in these Terms.

11. Australian Consumer Law and responsibility for loss

Services supplied to Australian consumers come with guarantees that cannot be excluded, including that services will be provided with due care and skill and be fit for a disclosed purpose where the law says that guarantee applies. See the ACCC's current consumer guarantees guidance.

Subject to those non-excludable rights:

You should take reasonable steps to avoid or reduce loss, including stopping use of a faulty feature, preserving evidence and contacting us promptly.

12. App Store terms

If you obtain TradeCowboy through Apple's App Store, your use is also subject to the applicable Apple Media Services Terms and Apple's standard application licence terms where applicable. These Terms are between you and Diego Fernandez, not Apple. Diego Fernandez, not Apple, is responsible for TradeCowboy and its support, subject to applicable law. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it.

13. Disputes and governing law

Please email [email protected] first with the account email, issue and outcome you want. We will try in good faith to resolve it promptly. Nothing here requires you to delay an urgent application or prevents you from contacting a regulator, consumer-protection body or court.

These Terms are governed by the laws of Queensland and applicable Commonwealth laws of Australia. You and we submit to courts with jurisdiction in Queensland, but this does not prevent you from using a court, tribunal or mandatory right available in your place of residence.

14. Changes to these Terms

We may update these Terms prospectively for new features, provider or legal changes. We will post the new version and update the date above. For a material change to an ongoing account or paid service, we will give reasonable notice through the app, website or account email. If you do not agree, you may stop using the affected service and cancel future renewal before the change takes effect. Changes do not remove rights or remedies that already accrued.

If one term is unlawful or unenforceable, it will be read down or severed only to the extent necessary, and the rest continues. A delay in enforcing a term is not a waiver. We may transfer this agreement as part of a genuine business reorganisation or sale if the transfer does not reduce your non-excludable rights; you may not transfer your account or licence without our consent.
